Our client a Global Fund Administrator is looking to hire a Company Secretary on a 12 month FTC, for more details please apply.

The primary responsibility entails delivering comprehensive company secretarial services to a diverse client portfolio, encompassing both existing and potential new funds, whether private or publicly listed. This role involves collaborating with relevant regulatory bodies, ensuring adherence to corporate governance standards, best practices, and company secretarial protocols. Additionally, the role extends to supporting operational entities as needed.
Key Responsibilities:
  • Organize and facilitate board and committee meetings, including communication with board members and relevant stakeholders.
  • Efficiently prepare meeting agendas, action items, and minutes.
  • Provide company secretarial assistance in establishing corporate entities and limited partnerships across various jurisdictions, managing company records, share registry functions, and system upkeep.
  • Uphold good corporate governance practices across all company secretarial affairs.
  • Execute stock exchange announcements when necessary.
  • Coordinate the assembly and distribution of board packs in collaboration with fund administration teams.
  • Foster effective communication with client teams at all organizational levels.
  • Prepare documentation for General Meetings, including liaison with legal advisors.
  • Ensure timely dispatch and collection of proxies, coordinating with administration teams for quorum attainment where applicable.
  • Liaise with external registrars for proxy aggregation.
  • Ensure statutory filings and fee payments are completed within mandated timeframes.
  • Maintain databases and Document Management Systems in line with established protocols.
  • Manage the Company Secretarial Meeting Planner and Calendar.
  • Assist in coordinating company secretarial aspects of new client onboarding.
  • Ensure funds meet ongoing statutory and regulatory obligations.
  • Provide additional support services as required.
Qualifications:
  • Minimum of 2-5 years’ experience in company secretarial functions, fund administration, or similar domains.
  • Familiarity with UKLA Listing Rules, MAR, and local regulatory frameworks.
  • Qualified ICSA (or working towards qualification) would be advantageous.
  • Proficient in writing concise and accurate minutes.
  • Ability to work effectively under pressure and meet deadlines.
  • Strong proficiency in Microsoft Office suite, including Word, Excel, Adobe, and Outlook, along with familiarity with software such as Board Intelligence and Virtual Boardroom.
  • Excellent communication skills, both within a team and independently.
  • Capacity to maintain clear and concise records while enhancing the company secretarial role.
  • Motivated, efficient, and highly organized.
