A leading Alternative Asset Management firm is looking to bring on a Senior Transaction Manager to sit within their Commercial Real Estate Group here in NYC.
Job Description:
Responsibilities: - Legal Counsel: Provide legal advice and support on commercial real estate transactions, including acquisitions, dispositions, leasing, financing, and development projects.
- Transaction Structuring: Assist in structuring complex commercial real estate transactions to optimize tax efficiency, mitigate risks, and achieve investment objectives.
- Contract Drafting and Negotiation: Draft, review, and negotiate a wide range of legal documents related to commercial real estate, including purchase agreements, sale agreements, lease agreements, financing documents, joint venture agreements, and development agreements.
- Due Diligence: Conduct thorough due diligence reviews on potential real estate investments, including title examinations, zoning analyses, environmental assessments, financial analyses, and review of property surveys and lease agreements.
- Regulatory Compliance: Ensure compliance with applicable laws, regulations, and industry standards governing commercial real estate transactions, including securities laws, tax laws, landlord-tenant laws, and environmental laws.
- Risk Management: Identify legal risks and issues related to commercial real estate transactions and develop strategies to mitigate risks and protect the interests of the firm and its investors.
- Collaboration: Work closely with investment professionals, asset managers, property managers, finance professionals, and external legal counsel to execute transactions and manage legal matters related to the firm's real estate investments.
- Dispute Resolution: Assist in the resolution of disputes and litigation related to commercial real estate investments, including negotiations, mediations, arbitrations, and litigation support.
Qualifications: - Juris Doctor (J.D.): Must have a law degree from an accredited law school.
- Bar Admission: Must be licensed to practice law in the jurisdiction where the attorney will be practicing.
- Experience: Prior experience practicing commercial real estate law, preferably within a law firm or in-house legal department of a real estate investment firm, alternative asset manager, or real estate development company.
- Real Estate Expertise: In-depth knowledge of commercial real estate law and industry practices, including property law, contract law, leasing law, finance law, and real estate investment structures.
- Financial Acumen: Strong understanding of financial concepts and analysis related to real estate investments, including financial modeling, valuation methods, and capital markets.
- Communication Skills: Excellent written and verbal communication skills to effectively communicate complex legal concepts and negotiate with internal and external stakeholders.
- Analytical Skills: Strong analytical and problem-solving skills to identify legal issues, assess risks, and develop creative solutions.
- Team Player: Ability to work collaboratively as part of a cross-functional team and build strong relationships with colleagues and external partners.
